Portugal Golden Visa Fund: What If the Manager Changes?
A change in the people managing a Portugal Golden Visa fund deserves a documented review. First establish whether an individual is leaving, the legal management company is being replaced, or both. Those events raise different questions. Their consequences depend on the fund's structure, governing documents and the actual proposal, alongside the applicable law.
For an investor choosing a fund, this is a useful question to ask before subscribing. For an existing investor, it helps turn an announcement into specific requests for evidence. Our broader fund due-diligence guide covers the initial comparison; this article focuses on management continuity in an externally managed fund.
Establish exactly what is changing
Identify the fund's full legal name and the management company's full legal name. Then compare them with the announcement. A familiar brand, adviser or portfolio manager may feature prominently in presentations without being the legal entity appointed to manage the fund.
Ask which people are departing, which responsibilities they held and who takes them over. Separately, ask whether the legal management company changes. A team biography and an appointment document answer different questions.
For example, an investment director's departure may require a review of experience and succession even if the same company remains manager. A proposed replacement company requires an additional review of that entity, the appointment process and the transfer of responsibilities. Avoid treating one explanation as sufficient for both events.
Identify the applicable replacement process
Article 72 of Portugal's Regime da Gestão de Ativos distinguishes fund types. For an open-ended collective investment undertaking, replacement requires provision in the constitutive documents, specified safeguards and CMVM authorisation. Paragraph 5 subjects replacement of a closed-ended alternative investment fund's management company to immediate communication to CMVM.
Have the fund's Portuguese legal adviser identify the applicable route and explain the supporting documents. Do not import an open-ended fund's authorisation procedure into a closed-ended fund simply because both are discussed as Golden Visa investments.
Request the proposal, the legal basis for the appointment, the relevant regulatory communication or decision, and the effective date. Ask which steps are completed and which remain outstanding. A proposed successor and an effective appointment should be labelled accurately in your records.
Read any key-person provision in full
Ask whether the governing documents contain a key-person provision and obtain the actual wording. Do not assume every fund has one, or that a manager's name in a presentation creates contractual protection.
If a provision exists, have the responsible professional explain:
Which named individuals or roles does it cover, and what event triggers it?
Who determines and communicates that the event occurred?
Does it affect new investments, decision-making or another activity?
What replacement, consent or other resolution does the text provide?
These are questions about the particular documents, not a universal list of investor rights. Read any exceptions and conditions alongside the main provision. A promise that an experienced team will remain involved is difficult to assess without knowing what happens if that expectation changes.
Understand which decisions you can influence
For closed-ended alternative investment funds, Article 212 of the same regime addresses investor meetings and amendments to the management regulation. It provides for meeting approval of amendments not required by mandatory law, while allowing the regulation to identify matters the manager may change without meeting approval, subject to information duties.
Ask how those rules and the fund's documents apply to the specific proposal. If a vote is requested, obtain the resolution, participation instructions and explanation of the rights attached to your unit class. Have your adviser identify the applicable notice and voting requirements rather than relying on another fund's arrangements.
Do not assume that disagreeing with a replacement creates a redemption right, an individual veto or an immediate cash exit. Ask for the precise legal or contractual basis of any option offered to you.
Compare the investment terms before and after
Request a clear comparison of the current and proposed arrangements. Separate a change of manager from any accompanying change to strategy, fees, investment restrictions, governance or fund duration. Ask who proposes each change and what approval it needs.
For the investment review, establish who will make portfolio decisions, what relevant experience they bring and how existing assets will be managed. Ask about the handover of records, relationships with portfolio companies and any proposed transactions involving parties connected with the incoming manager.
For the financial comparison, request an explanation of transition costs, ongoing remuneration and any changes to performance-fee calculations. Ask who would bear each cost and where that treatment is documented. These questions help assess the proposal; they do not assume that new charges are permissible or that a new manager improves returns.
Keep investment and residence records connected
Prepare a dated file containing the announcement, current documents, proposed amendments, decisions and correspondence. Ask who will supply future investor statements and respond to requests concerning your holding. Reconcile the fund and manager identities across those records.
For your ARI case, ask the Portuguese immigration professional whether the event affects the evidence needed for your application or renewal, whether any document should be updated, and who is responsible for obtaining it. The management announcement alone does not answer those individual immigration questions.
Before acting on a proposed sale, transfer or move to another fund, obtain separate advice on its investment and residence implications. Investor residence, permanent residence and citizenship are distinct assessments; a management transition does not establish an entitlement to any of them.
Bring a defined question to the review
Summarise what changes, when it takes effect, which documents support it and which questions remain unresolved. MFG's published Independent Fund Review covers structure, governance, costs and liquidity, with scope, costs and relevant fund-manager remuneration explained before commitment.
Contact MFG Consultants to discuss the review you need and which investment and Portuguese legal professionals should address it. Agree the work before relying on an initial conversation as an assessment of a particular replacement. Capital recovery, liquidity and immigration outcomes cannot be inferred from the appointment of a new manager.
